CONSTITUTION & CHARTER

Established under the Authority of
AFRIEMPIRE MONARCHY HOUSE UNLIMITED

 

PREAMBLE

We, the Founding Authority under the AfriEmpire Monarchy House Unlimited, conscious of
Africa’s historical economic distortions, fragmented trade systems, revenue leakages,
multiple taxation, and the marginalization of indigenous institutions in global commerce,
do hereby establish the African Trades House of Commerce as a continental institution
to structure lawful trade, protect historic economic rights, harmonize revenue systems,
and promote African economic sovereignty.

This Constitution and Charter shall serve as the supreme governing instrument of the
African Trades House of Commerce and all its affiliated chambers, councils, and
institutional platforms.

 

ARTICLE I – ESTABLISHMENT AND LEGAL STATUS

1.1 The African Trades House of Commerce is hereby established as a continental commercial, trade, and revenue institution.

1.2 The Chamber operates as an institutional platform of AfriEmpire Revenue Homes Ltd.

1.3 The Chamber derives its authority from AfriEmpire Monarchy House Unlimited.

1.4 The Chamber shall enjoy perpetual succession and a distinct legal personality.

1.5 The Chamber may acquire, hold, and dispose of property.

1.6 The Chamber may enter into contracts, memoranda, treaties, and commercial instruments.

ARTICLE II – CONTINENTAL JURISDICTION & DIPLOMATIC STATUS

2.1 The Chamber shall operate across Africa and within the African Diaspora.

2.2 Its operations shall align with AfCFTA, African Union protocols, and regional economic blocs.

2.3 The Chamber shall maintain advisory, facilitative, and institutional recognition.

2.4 Diplomatic, royal, and institutional engagements shall be conducted through accredited delegations.

2.5 Nothing herein shall derogate from the sovereignty of member states.

ARTICLE III – OBJECTIVES AND MANDATE

4.1 The Chamber recognizes African kingdoms, royal houses, indigenous authorities, and historic institutions.

4.2 A Continental Royalty Rights Registry shall be maintained.

4.3 The Chamber shall mediate royalty revenue claims and economic heritage matters.

4.4 No recognition shall invalidate lawful state authority.

5.1 Membership shall be voluntary and structured.

All funds shall be transparently managed and audited.

ARTICLE IX – EMPLOYMENT, INCLUSION & SOCIAL IMPACT

and formalization of the informal sector through structured trade and revenue systems.

ARTICLE X – INTELLECTUAL PROPERTY & SYSTEM PROTECTION

All systems, frameworks, models, platforms, and terminologies developed under the
Chamber are protected intellectual property.

Unauthorized replication, circumvention, or misrepresentation is prohibited.

ARTICLE XI – DISCIPLINE, COMPLIANCE & ARBITRATION

An internal arbitration tribunal shall adjudicate disputes, misconduct,
and breaches of this Charter.

Sanctions may include suspension, expulsion, fines, or legal action.

ARTICLE XII – AMENDMENT

This Constitution may be amended only by a supermajority approval of the
Supreme Royal & Institutional Council.

ARTICLE XIII – DISSOLUTION

The Chamber may be dissolved only by unanimous decision of the Founding Authority
under AfriEmpire Monarchy House Unlimited.

 

INTELLECTUAL PROPERTY, NON-CIRCUMVENTION, CONFIDENTIALITY & DIPLOMATIC PROTECTION INSTRUMENT

PREAMBLE

This Instrument is established in recognition of the sovereign-sensitive,
strategic, and proprietary nature of the institutional concepts, governance
frameworks, trade architectures, revenue systems, terminologies, diplomatic
engagement models, and economic instruments developed and deployed by
AfriEmpire Revenue Homes Limited under the authority of AfriEmpire Monarchy
House Unlimited.

This Instrument shall apply to all governments, institutions, partners,
contractors, consultants, members, affiliates, and counterparties who engage,
access, observe, adopt, or benefit from any AfriEmpire system, framework,
process, or institutional platform.

 

ARTICLE I – OWNERSHIP OF INTELLECTUAL PROPERTY

1.1 All concepts, institutional structures, governance models, trade frameworks,
revenue systems, terminologies, classifications, documentation formats,
digital platforms, operational processes, and proprietary methodologies
associated with AfriEmpire Revenue Homes Limited and its Chambers are the
exclusive intellectual property of AfriEmpire Revenue Homes Limited and
AfriEmpire Monarchy House Unlimited.

1.2 Ownership applies whether such intellectual property is registered,
unregistered, expressed orally, visually, digitally, or in written form.

1.3 No ownership, license, or right is transferred except by express written
authorization.

ARTICLE II – NON-CIRCUMVENTION

2.1 No party shall directly or indirectly replicate, imitate, rebrand,
substitute, reverse-engineer, parallel-deploy, or otherwise circumvent any
AfriEmpire intellectual property.

2.2 Circumvention includes using intermediaries, affiliates, shell entities,
or alternative nomenclature to bypass authorization.

2.3 Any attempt to derive commercial, institutional, or reputational benefit
without authorization shall constitute material breach.

ARTICLE III – CONFIDENTIALITY

3.1 All non-public information disclosed in the course of engagement shall be
treated as strictly confidential.

3.2 Confidentiality obligations survive termination, withdrawal, or expiration
of any relationship.

3.3 Confidential information shall not be disclosed to third parties without
prior written consent.

ARTICLE IV – DIPLOMATIC, ROYAL & INSTITUTIONAL PROTECTION

4.1 All AfriEmpire systems operate under royal and institutional authority.

4.2 Misrepresentation of authority, false claims of endorsement, or abuse of
royal or institutional association constitutes a serious breach.

4.3 Such breaches may attract diplomatic protest, institutional sanctions,
and legal remedies.

ARTICLE V – PERMITTED USE

5.1 Permitted use of any AfriEmpire intellectual property shall be limited to
the scope expressly stated in written authorization.

5.2 Authorization is non-transferable unless explicitly stated.

5.3 Any use beyond scope shall be deemed unauthorized.

ARTICLE VI – BREACH & REMEDIES

6.1 Breach of this Instrument shall entitle AfriEmpire to immediate remedies.

  • Termination of engagement
  • Revocation of licenses or permissions
  • Institutional blacklisting
  • Claims for damages and restitution
  • Injunctive and legal relief

6.2 Remedies may be cumulative and exercised without prejudice.

ARTICLE VII – GOVERNING LAW & DISPUTE RESOLUTION

7.1 Parties shall first attempt resolution through internal arbitration.

7.2 Where unresolved, disputes may proceed to competent jurisdiction.

7.3 This Instrument shall be interpreted in accordance with applicable
commercial, institutional, and arbitration principles.

ARTICLE VIII – BINDING EFFECT

8.1 This Instrument shall be binding upon acknowledgement, engagement,
participation, or benefit.

8.2 No signature shall be required where conduct implies acceptance.

8.3 This Instrument forms an integral part of all AfriEmpire engagements.

PREAMBLE

We, the peoples and leadership of Africa, united by a shared commitment to
economic sovereignty, structured trade governance, cultural heritage, and
sustainable development, hereby establish the AfriEmpire Revenue Homes Trades
Chambers (ARHTC), also recognized as the African Trades House of Commerce.

This institution is founded under the sovereign authority and protection of
the AfriEmpire Monarchy House Unlimited, to serve as a continental trade,
revenue, and commercial coordination platform aligned with African Union
Agenda 2063 and the African Continental Free Trade Area (AfCFTA).

ARHTC is instituted to harmonize fragmented trade systems, protect indigenous
economic rights, eliminate exploitative taxation practices, and empower
African enterprises across local, national, continental, and global markets.

 

ARTICLE 1 – ESTABLISHMENT

1.1 Legal Authority

The AfriEmpire Revenue Homes Trades Chambers (ARHTC) is hereby established as a
continental chamber of commerce institution under the sovereign mandate of
AfriEmpire Monarchy House Unlimited.

1.2 Recognition

ARHTC shall also be formally recognized as the African Trades House of Commerce,
representing Africa in trade, commerce, revenue coordination, and economic
diplomacy.

1.3 Jurisdiction

ARHTC shall operate across all African states, regional blocs, sub-national
governments, traditional authorities, and within the African Diaspora, in
alignment with AfCFTA and AU economic frameworks.

1.4 Headquarters

The Continental Headquarters shall be situated at the AfriEmpire Monarchy House
Unlimited Headquarters, Adun Kingdom, Cross River State, Nigeria.

1.5 Legal Personality

ARHTC shall possess perpetual succession, legal personality, and the capacity
to own assets, enter contracts, sue, and be sued in its own name.

ARTICLE 2 – MANDATE AND OBJECTIVES

2.1 Mandate

ARHTC is mandated to coordinate, regulate, formalize, and empower trade,
commerce, and structured revenue systems across Africa.

2.2 Objectives

  • Develop structured internally generated revenue (IGR) frameworks
  • Harmonize African trade practices and standards
  • Protect indigenous, cultural, and historic royalty revenue rights
  • Facilitate cross-border trade and investment
  • Serve as a continental arbitration and mediation platform
  • Promote digital and technology-driven trade systems
  • Generate mass employment opportunities

ARTICLE 3 – GOVERNANCE STRUCTURE

3.1 Supreme Authority

The AfriEmpire Monarchy House Unlimited shall serve as the Supreme Custodian,
Protector, and Final Authority of ARHTC.

3.2 Governing Council

The Governing Council shall consist of continental, regional, and national
leadership appointed or ratified under the authority of AMHU.

3.3 Advisory Council

An Advisory Council of traditional rulers, statesmen, trade experts, and
international advisors shall guide ARHTC on policy and best practices.

3.4 Secretariat

The Secretariat shall serve as the administrative, technical, and operational
engine of ARHTC.

ARTICLE 4 – MEMBERSHIP & ACCREDITATION

ARTICLE 7 – DISPUTE RESOLUTION & ARBITRATION

ARHTC shall function as a continental arbitration and mediation body for
commercial, trade, taxation, and permit-related disputes.

ARTICLE 8 – PARTNERSHIPS

ARHTC shall partner with African Union bodies, governments, traditional
institutions, international chambers, embassies, and development agencies.

ARTICLE 9 – INNOVATION & DIGITAL TRADE

ARHTC shall establish research institutes, data intelligence systems, and
digital platforms for revenue monitoring and trade facilitation.

ARTICLE 10 – MONITORING, COMPLIANCE & ENFORCEMENT

ARHTC shall deploy compliance mechanisms and anti-multiple taxation campaigns
in collaboration with governments and institutions.

ARTICLE 11 – AMENDMENTS, RATIFICATION & ADOPTION

Amendments shall require a two-thirds majority of the Governing Council and
final ratification by AfriEmpire Monarchy House Unlimited.
